7. Intellectual Property License
By submitting any content to SecondSideMedia, you grant SecondSideMedia a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, reproduce, format, adapt for display or technical functionality, display, distribute, index, archive, create summaries or metadata from, and make your content available in any form or medium, including but not limited to the website, search results, feeds, APIs, structured data, or other machine-readable formats.
You retain ownership of your submitted content, subject to the license granted above. This license survives any termination of your account or these Terms.
8. Acceptable Use Policy
You agree not to submit, publish, or cause to be published any content that:
- Is unlawful, defamatory, libelous, slanderous, knowingly false, materially misleading, or deceptive;
- Infringes any third party’s copyright, trademark, privacy, publicity, or other proprietary rights;
- Violates any applicable law, regulation, or court order;
- Contains hate speech, harassment, threats, or promotes violence;
- Constitutes spam, advertising, or unsolicited commercial content;
- Includes personal or sensitive information of others without authorization.
SecondSideMedia reserves the right to remove any content that violates this policy at its sole discretion.
9. Corrections, Updates, Disputes, and Takedown Requests
We maintain procedures for handling correction, update, dispute, and takedown requests. All such requests must be submitted in writing through the designated contact form on the website.
SecondSideMedia reserves the sole discretion to implement corrections, annotations, updates, or removals consistent with our methodology and applicable law.
10. Indemnification
You (the “Publishing Party”) expressly agree to defend, indemnify, and hold harmless SecondSideMedia, its owners, operators, parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and successors (collectively, “the Platform”) from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney’s fees and court costs) arising out of or relating to:
- Any content, information, documentation, or narrative you submit, upload, or cause to be published on the Platform, including any claims of defamation, libel, slander, false information, or misleading statements;
- Any violation of third-party rights (including copyright, trademark, privacy, publicity, or other proprietary rights);
- Any breach of applicable laws, regulations, or court orders resulting from the publication of your content;
- Your breach of any representation, warranty, or obligation under these Terms.
You represent and warrant that, to the best of your knowledge, all materials you submit are accurate, lawful, authorized for public distribution, and not knowingly false, materially misleading, or submitted for an improper purpose. You acknowledge that SecondSideMedia acts solely as a neutral hosting intermediary and does not independently verify the accuracy, truthfulness, or legality of any user-submitted content.
In the event of any legal threat, demand, notice, or lawsuit directed at the Platform regarding your content, you shall assume responsibility for the Platform’s defense and reimburse the Platform for related costs, fees, and expenses upon demand, to the fullest extent permitted by applicable law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall SecondSideMedia, its owners, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, exemplary, reputational, or business damages, including without limitation damages for loss of profits, goodwill, data, business interruption, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Platform, any content published on it, reliance on published materials, or any AI/search/indexing behavior.
SecondSideMedia’s total aggregate liability to you for any claim shall not exceed the greater of (i) the amount you paid to us (if any) in the twelve (12) months preceding the claim, or (ii) $100 USD.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel.
13. International Users
SecondSideMedia is operated from Israel. We make no representation that the Platform or its content is appropriate or available for use in other locations. Users who access the Platform from jurisdictions outside Israel do so at their own risk and are responsible for compliance with all applicable local laws.
14. Termination
SecondSideMedia may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice.
15. Changes to Terms
We may update these Terms from time to time. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
16. Miscellaneous
- Severability: If any provision of these Terms is held invalid, the remainder of the Terms shall continue in full force and effect.
- No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SecondSideMedia regarding the Platform.
